PROVISIONAL BYLAWS OF THE VANCOUVER ISLAND LIBERTARIAN ASSOCIATION Article 1 - Membership Fees for membership in the VILA shall be set and amended by majority vote of the members at the Annual Meeting, as shall fees for associate membership. Article 2 - Duties of Officers The President shall be the chief executive officer of the VILA. The Vice-President shall assist the President and shall be the Acting President in his place should the Presidency become vacant or should the President by temporarily unable to fulfill his duties. The Secretary shall keep a record of the membership of the VILA and shall act as recording Secretary at all meetings or arrange for an alternate to take minutes. The Secretary shall be responsible for giving notice of meetings to members. The Treasurer shall be known as an "electoral district agent" and will be an official agent for The Libertarian Party of Canada. This will require that his name be filed with the government. The Treasurer shall maintain the VILA's bank account and handle all receipts and disbursements of funds. He shall make an annual financial report to members at the end of each fiscal year (June 1). The Treasurer shall keep complete records of all donations made to the Party through the VILA and shall, at the end of each year, send a list of donors, their current addresses and the amounts of their donations to the National Headquarters of the Party so that official receipts for income tax purposes may be issued. Article 3 - Overlapping Officerships A person may hold more than two executive positions. Article 4 - Executive Committee Three Executive Committee members shall be required for a quorum. Meetings may be called by any member of the Executive Committee and 14 days notice shall be given in writing unless unanimously waved. Article 5 - Meetings There shall be one Annual Meeting to be held each year in the spring. At this meeting, members of the Executive Committee shall be elected by the membership by secret ballot. Thirty days advanced notice of the Annual Meeting shall be given. As many General Meetings as shall be useful shall be called between annual meetings. A petition signed by 25% of the membership shall make the calling of a General Meeting mandatory upon the executive. Fourteen days advance notice in writing of General Meetings shall be given. Article 6- Election of Officers and Executive Committee Any member may be nominated for any position by a nonimator and a seconder. Members may be nominated from the floor of the meeting or in advance of the meeting in writing. Executive positions shall be chosen by a clear majority of members. If more than two members contest a position and no one receives 50% of the votes, runoff elections shall be held until someone achieves a clear majority. The Secretary shall by the preparer of ballots and vote-counter. Each candidate may appoint a scrutineer. Article 7 - Finances The VILA shall keep a bank account in the name of the Libertarian Party of Canada. The President, Vice-President and Treasurer shall be the only signatories on the account. The signature of the Treasurer and one other of the signatories shall be required on all cheques. The fiscal year shall run from Jan. 1 to Dec. 31. Memberships shall run from one year from the date of joining. Appropriate records shall be kept by the Treasurer. Article 8- Parliamentary Authority Robert's Rules of Order - Newly Revised shall be the parliamentary authority where it does not clash with the constitution or bylaws. Article 9 - Initial Executive This Association shall have its founders as its initial executive. They are to be confirmed at a General Meeting after the VILA has acquired 15 members. At that time, this article of the Bylaws shall expire and be stricken form the Bylaws.
